What makes a commercial file different
Commercial transactions carry complications that a residential file usually does not:
- Entity parties. Buyers and sellers are LLCs, corporations, partnerships or trusts, so authority has to be established — operating agreements, resolutions, good standing from Sunbiz.
- Multiple parcels under a single contract, each needing its own search.
- Leases and tenancies that survive the sale, and estoppels to collect.
- Easements, access and encroachments that a survey has to reconcile.
- Endorsements to the policy that the lender or buyer requires.
- Environmental and zoning considerations affecting use.
